Colibri Completes Sale of 49% Interest in Pilar for C$3.6 Million Plus 1% NSR

NEWS RELEASE - Dieppe, New Brunswick – August 27, 2026 – Colibri Resource Corporation (TSXV: CBI) ("Colibri" or the "Company") is pleased to announce the successful completion of the transaction previously announced on July 9, 2026, pursuant to which the Company has sold its 49% interest in the Pilar Gold Project, located in Sonora, Mexico, to Tocvan Ventures Corp. (CSE: TOC) ("Tocvan").


Under the terms of the transaction, Colibri received C$2.0 million at closing and will receive an additional C$1.6 million on or before the first anniversary of closing. Colibri has also retained a 1.0% Net Smelter Return Royalty ("NSR") on the Pilar Gold Project. Tocvan may repurchase the NSR at any time for C$1.0 million.


The transaction represents total cash consideration of C$3.6 million while allowing Colibri to retain long-term exposure to the Pilar Gold Project through the retained royalty. The transaction materially improves the Company's financial position and positions Colibri to focus on advancing its wholly-owned EP Gold Project while continuing to evaluate additional growth opportunities in Sonora, Mexico.

The Company intends to use the proceeds from the transaction to strengthen its balance sheet, provide additional working capital, advance exploration at its wholly-owned EP Gold Project and evaluate additional strategic opportunities in Sonora, Mexico.


Following completion of the transaction, the Company's principal exploration focus will be its 100%-owned EP Gold Project. In addition, the Company will continue to evaluate opportunities to enhance value across its remaining project portfolio while pursuing strategic opportunities consistent with its long-term growth strategy.


The transaction remains subject to final acceptance of the TSX Venture Exchange.

The options are exercisable at a price of $0.10 per common share. Of the options granted, 2,250,000 are exercisable for a period of five years and 500,000 are exercisable for a period of two years. NEWS RELEASE - Dieppe, New Brunswick – July 9, 2026 – Colibri Resource Corporation (TSXV: CBI) ("Colibri" or the "Company") is pleased to announce that it has entered into a definitive Arm's Length purchase and sale agreement, dated July 8th, 2026 with Tocvan Ventures Corp. (CSE: TOC) ("Tocvan"), pursuant to which Tocvan has agreed to acquire Colibri's remaining 49% interest in the Pilar Gold & Silver Project ("Pilar") located in Sonora, Mexico. The transaction is expected to significantly strengthen Colibri's financial position while allowing shareholders to retain long-term exposure to the Pilar Project through the retained 1% Net Smelter Return ("NSR") royalty. The proceeds are expected to provide the Company with increased financial flexibility to advance its wholly owned EP Gold Project and broader exploration portfolio in Sonora, while continuing to evaluate additional exploration and development opportunities to enhance shareholder value. Under the terms of the agreement, Colibri will receive total cash consideration of C$3.6 million comprised of: • C$2.0 million payable upon closing; and • C$1.6 million payable twelve (12) months following closing. In addition, Colibri will retain a 1.0% Net Smelter Return ("NSR") royalty on the Pilar Project. Tocvan will retain the right to repurchase the NSR for a one-time cash payment of C$1.0 million. NEWS RELEASE - DIEPPE, N.B., March 13, 2026 -- Colibri Resource Corporation (“Colibri” or the “Company”) (CBI: TSX-V) is pleased to report assay results from its maiden Phase 1 reconnaissance reverse circulation (“RC”) drill program completed at the Plomo claims within the Company’s 100% owned EP Gold Project located in the prolific Caborca Gold Belt of Sonora, Mexico, a region that hosts several significant gold deposits and mining operations including La Herradura and Noche Buena, which are operated by Fresnillo plc.  The Phase 1 program comprised 22 RC drill holes completed across the San Perfecto (20 holes) and Banco de Oro (2 holes) targets within the Plomo claim block, along with one RC drill hole completed at the West Sahuaro target located within the Evelyn claim block of the EP Gold Project. The program represents the first modern drill testing of multiple targets identified through geological mapping, geophysical interpretation and surface sampling across the Plomo claims.
